These Terms govern your access to and use of the ForgeNet platform. By creating an account, listing inventory, posting services, or transacting on the marketplace, you agree to be bound by them.

1. Introduction & Platform Definition
ForgeNet (“the Platform”, “we”, “us”) is a business-to-business (B2B) industrial marketplace that connects three classes of users:
- Buyers — procurement teams, OEMs, fabrication units, and contractors sourcing raw materials, machinery, and skilled labor.
- Suppliers — verified vendors listing structural steel, coils, machinery, tooling, and related industrial assets for sale or lease.
- Skilled Workers — fabricators, welders, fitters, operators, and other tradespeople offering their services for hire.
The Platform itself is a facilitator that provides discovery, communication, and transaction tooling. It does not manufacture, warehouse, inspect, or directly employ any party listed on the marketplace.
2. Fees, Commissions & Payouts
ForgeNet operates on a transparent commission model. Account registration, listing creation, and discovery are free for both suppliers and workers.
- The Platform charges a standard 2% service commission on the gross value of every completed marketplace transaction.
- The remaining 98% is disbursed to the supplier or worker via the split-payout system into their registered bank account.
- Commissions are computed on the order subtotal and are deducted automatically at the time of settlement — suppliers and workers are never invoiced separately.
- Applicable taxes (GST, VAT, withholding) are the responsibility of the transacting parties and are not included in the 2% commission.
- Refunds, chargebacks, and disputed transactions may reverse the corresponding commission at our discretion.
3. User Responsibilities & Verification
All users must provide accurate, current, and complete information at registration and keep that information updated. The Platform may suspend or terminate any account that fails verification.
Suppliers listing machinery, coils, or materials must:
- Submit a valid business identity, including GSTIN (or local tax registration) and registered company name.
- Provide accurate technical specifications, grades, dimensions, certifications, and country of origin for every listing.
- Upload genuine photographs of the actual stock being offered — stock images, misleading renders, or third-party catalogue imagery are not permitted.
- Honor listed pricing, lead times, and minimum-order quantities; maintain the ability to fulfill confirmed orders.
Skilled fabricators and workers listing services must:
- Verify their identity and declare their trade, years of experience, and relevant safety certifications.
- Accurately represent skills, rate cards, and physical availability for on-site work.
- Comply with all applicable labor, safety, and licensing regulations in their operating jurisdiction.
- Maintain professional conduct in all communications with buyers and counterparties.
4. Listings, Quality & Inspection
The Platform does not physically inspect every listing. Buyers are expected to perform reasonable diligence — including mill test certificates, sample inspections, and on-site visits — before placing high-value orders. Suppliers must allow reasonable inspection windows on request.
5. Limitation of Liability
ForgeNet is a facilitator that connects independent counterparties. To the maximum extent permitted by law:
- The Platform is not liable for structural, dimensional, or metallurgical variations in materials supplied by sellers, including grade mismatches, surface defects, or non-conformance to drawings.
- The Platform is not liable for direct labor disputes between buyers and workers, including wage disagreements, scope-of-work conflicts, on-site incidents, or contractual breaches.
- The Platform is not responsible for delays, damage in transit, or losses arising from third-party logistics, customs, or banking intermediaries.
- Our total aggregate liability for any claim relating to a transaction is limited to the commission actually collected by us on that transaction.
We will, however, make commercially reasonable efforts to mediate disputes and may suspend accounts that demonstrate a pattern of fraud, misrepresentation, or non-performance.
6. Prohibited Conduct
Users may not list counterfeit goods, restricted military-grade materials, stolen inventory, or content that infringes intellectual-property rights. Off-platform circumvention to avoid commission is also prohibited.
7. Changes to These Terms
We may update these Terms from time to time to reflect changes in features, regulation, or market practice. Material changes will be highlighted on the Platform; continued use after such updates constitutes acceptance.
